These Terms of Service (the "Terms") govern your access to and use of the CentralHost website at www.centralhost.sh, the CentralHost web application, agent software and related services (collectively, the "Service"). The Service is operated by Pyxsoft Computing Ltd., a company based in London, United Kingdom ("CentralHost", "we", "us" or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
CentralHost is a centralized operations platform for Linux server fleets. It allows you to monitor your servers, investigate incidents, manage operations, improve security posture and execute remote actions from a single web interface, including through an AI assistant. CentralHost is an operations and management tool; it is not a hosting provider, a cloud provider, a backup storage provider or a billing platform.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. When you create an account you agree to provide accurate information and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at support@centralhost.sh of any unauthorized use.
3. Your servers and the agent
To use the Service you install our agent software on the Linux servers you wish to manage. You represent and warrant that you own those servers or are otherwise authorized to install software on them, grant the Service access, and perform the operations you carry out through the Service. You are solely responsible for the servers you connect and for the consequences of actions performed on them.
4. The AI Assistant and operator control
The Service includes an AI assistant that can investigate issues and propose or execute changes on your servers. Actions that modify your systems are designed to require your explicit approval before they run. You remain the operator and decision-maker: you are responsible for reviewing and approving any action, and for the outcome of actions you approve. The AI assistant may produce incomplete or incorrect suggestions; you should exercise professional judgement and maintain appropriate backups before approving changes.
5. Acceptable use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms. You agree not to misuse the Service, interfere with its operation, or use it to access systems you are not authorized to access.
6. Fees, billing and taxes
Paid features of the Service are described on our Pricing page. All fees are stated and charged in US Dollars (USD). Your first server is free; additional server capacity is billed as a recurring monthly subscription, and AI credit top-ups are one-time purchases. Subscription charges renew automatically until cancelled. Purchases are completed through our payment provider Paddle (see Section 7), and you authorize Paddle to charge your payment method for all applicable fees. Prices are shown exclusive of tax; any applicable sales tax, VAT or GST is calculated, collected and remitted by Paddle and added at checkout based on your location. 7. Payment processing
Payments are processed by Paddle, which acts as the merchant of record and seller of record for your purchase. By completing a purchase you also agree to Paddle's buyer terms. We do not store your full payment card details; card data is handled by Paddle in accordance with its security standards.
8. Customer data
"Customer Data" means the data you and your servers provide to the Service, including inventory, metrics, logs and configuration. As between you and us, you retain all rights in your Customer Data. You grant us a limited licence to process Customer Data solely to provide and improve the Service and as described in our Privacy Policy. You are responsible for the legality of the Customer Data you submit.
9. Intellectual property
The Service, including the software, design, trademarks and content we provide, is owned by Pyxsoft Computing Ltd. and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You may not copy, modify, reverse engineer, resell or create derivative works of the Service except as permitted by law.
10. Third-party services
The Service may integrate with third-party products (for example hosting control panels, backup providers and cloud platforms). Your use of those services is governed by their own terms, and we are not responsible for third-party services.
11. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure, or that it will prevent any incident, data loss or downtime on your servers.
12. Limitation of liability
To the maximum extent permitted by law, Pyxsoft Computing Ltd. will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold harmless Pyxsoft Computing Ltd. and its officers, employees and agents from any claims, damages, liabilities and expenses arising out of your use of the Service, your Customer Data, or your breach of these Terms.
14. Suspension and termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or use the Service in a way that risks harm to us, other users or third parties. Upon termination your right to use the Service ends; sections that by their nature should survive will survive.
15. Changes to the Service and Terms
We may modify the Service and these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
16. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction over any dispute, without prejudice to mandatory consumer protections that may apply in your country of residence.
